Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express written permission of Tpage.com and the copyright owner. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material.

User Rules of Conduct

As the User, you agree to the following rules. Any violation of the following rules is automatically considered a material breach of these Terms and forfeiture of any access to Tpage:

Using Tpage in violation of local, state, national, or international laws; posting or transmitting any trade leads, information, data, text, files, links, chat, communication, or any other materials that are unlawful, harmful, illegal, threatening, abusive, invasive of another's privacy, harassing, defamatory, slanderous, vulgar, obscene, hateful, racist, embarrassing or otherwise objectionable to any other person or entity as determined by Tpage.com in its sole discretion; providing false information on your registration form or impersonating any person; crude talking, harassing, or otherwise harming others; posting or transmitting any unsanctioned advertising, promotional materials, or any other forms of unsanctioned solicitation, including, without limitation, "junk mail," "spam," "chain letters," or any unsolicited mass distribution of email; posting surveys, contests, or pyramid schemes; posting material that infringes on the intellectual property rights of others; distributing viruses, corrupted files, or any other similar software or programs that may damage the operation of another computer; engaging in any other conduct that inhibits any other user from accessing or enjoying Tpage; acting in any other manner which in Tpage.com, in its sole discretion finds unacceptable.

License

Subject to Terms, Tpage.com grants to User a personal, non-exclusive, non-assignable and non-transferable license to use and display all content included in Tpage on any machine of which User is the primary user. Unauthorized copying of Tpage's content, including content that has been modified, altered, changed, derivative works or the written materials associated therewith is expressly forbidden. Your use of Tpage does not confer any other license or right, expressly, by implication, by estoppel or otherwise, under any of our intellectual property rights, or under any third party's intellectual property rights, and no part of this website may be reproduced, republished, copied, transmitted, or distributed in any form without the explicit consent of Tpage.com.

Tpage.com does not assume any legal liability or responsibility for the accuracy, completeness, or usefulness of any information, apparatus, product, software or process used or disclosed on Tpage or any other material accessible from the Tpage. In no event shall Tpage.com be liable for any direct, indirect, punitive, incidental, especial or consequential damages arising out of or in any way connected with the use of Tpage or with thw delay or inability to use it (or any linked sites), or for any information, sofrware, products and services obtained through Tpage, or otherwise arising out of the use of Tpage or on any other basis (whether based on contract, tort, strict liability or otherwise), even if even if Tpage.com has been advised of the possibility of damages. Some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. Therefore, the above limitation may not apply to you. If this limitation of liability or the exclusion of warranty set forth above is held inapplicable of unenforceable for any reason in your state or jurisdiction, then Tpage.com's maximum liability for any type of damages shall be limited to the amount paid by you for accessing Tpage.

Use by Minors

Tpage provides its content and services to users involved in international trade and is not intended for use by minors. Pursuant to the Children's Online Privacy Protection Act, Tpage.com does not knowingly register or collect any information by a minor, under the age of 13.

Termination

At its sole discretion, Tpage.com reserves the right to restrict, suspend or terminate any User that violates any of the Terms contained herein.

Severability

If any provision of these Terms shall be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of all other provisions shall not in any way be affected or impaired. If any court shall determine that any provision of these Terms is in any way unenforceable, such provision shall be reduced to whatever extent is necessary to make such provision enforceable.

Indemnification

You agree to indemnify, defend and hold Tpage.com, Inc, and its' respective officers, directors, owners, agents, harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) resulting from your violation of these Terms, or the infringement by you, or other user of Tpage's services

Entire Agreement

The Terms contained within this User Agreement constitute the entire agreement and understanding between Tpage.com and the User, superseding any previous understanding between Tpage.com and the User. Furthermore, User agrees that they have not relied upon any representations or warranties that are not set forth expressly in these Terms.

Choice of Law and Venue; Export Control

The agreed upon Terms shall be governed and construed by the laws of the State of New York and laws and treaties of the United States. As for venue, any action or proceeding arising out of or relating to these Terms shall be filed in, heard and litigated solely before the state or federal courts located within the State of New York, County of New York. All parties generally and unconditionally accepts the exclusive jurisdiction of such courts and to venue therein and waives any defense or right to object to venue in said courts based upon the doctrine of "Forum Non Conveniens". Each party irrevocably agrees to be bound by any judgement rendered thereby in connection with these Terms. Tpage.com makes no representation that the contents and services of Tpage are appropriate or available for use in any other location than the United States, and access to them from territories where their content and services are illegal is prohibited. You may not use or export the contents of Tpage in violation of United States export laws and regulations.
